But how can SEGA let itself be disassembled like if it as no problem, surely they would have said some sort of anoncement about bieng dissolved.

Ive known about this for some time, those stupid Sammy fools.

However you worriers may be pleased to know that SEGA's response to Sammy buying all those shares was pretty much 'f**k you we'll do whatever we want'. They have stated that they will not be forced into doing anything by Sammy.
Sammy has no MAJOR influence over SEGA just by owning the largest percentage of shares. This is like saying because i lent my mate £50 i can tell him to go jump off a bridge! :p

And fear not, if worse comes to worse i have this here PSG Rifle and a whole bucket o'bullets!
